These Terms of Service are published by WawaCloud Inc. (operating as "WawaNode", "we", "us", or "our") and govern your ("Customer," "you," or "your") access to and use of the WawaNode website (https://wawanode.com) and related services. WawaCloud Inc. is a corporation incorporated under the Canada Business Corporations Act (CBCA), a Canadian federal corporation, with its registered office located in the Province of Ontario, Canada. "WawaNode" (哇哇) is the operating brand of WawaCloud Inc., and WawaCloud Inc. is the legal contracting party that provides the Service.

1. Acceptance of Terms
- These Terms of Service (the "Terms") constitute a legally binding agreement between you and WawaCloud. By registering an account, placing an order, or accessing or using any WawaNode service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
- These Terms apply together with WawaCloud's other published policies, including but not limited to the Acceptable Use Policy, Privacy Policy, Refund Policy, Service Level Agreement (SLA), Cookie Policy, DMCA / Copyright Complaint Policy, Payment & Billing Policy, Technical Support Policy, Abuse Complaint Policy, and (for business customers) the Data Processing Agreement (DPA). These policies are incorporated into these Terms by reference and form an integral part of them.
- If you accept these Terms on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization or entity to these Terms.
- If you do not agree to any part of these Terms, do not register an account or use the Service.
2. Definitions
- "Service" means all products and services provided by WawaCloud under the WawaNode brand, including cloud servers / VPS, dedicated servers, IP addresses, bandwidth and network resources, storage, the control panel, and technical support.
- "Account" means the user account you register and maintain with WawaNode in order to use the Service.
- "Order" means a request placed by you through the website to purchase or renew a Service.
- "Content" means any data, files, software, text, images, or other materials that you upload, store, transmit, process, or display through the Service.
- "Control Panel" means the web-based console that WawaCloud provides to customers for managing their services.
- "Policies" means the policy documents listed in Section 1.2 that are incorporated into these Terms by reference.
3. Account Registration and Eligibility
- An account is required to use the Service. You must provide registration information that is true, accurate, complete, and kept up to date.
- You must be at least 18 years of age, or the age of full legal capacity in your jurisdiction, and capable of entering into a binding contract.
- You are responsible for keeping your account credentials (including username, password, and any API keys) confidential and are fully responsible for all activity that occurs under your account.
- You must notify us immediately, via ticket or support@wawanode.com, of any unauthorized use of your account.
- WawaCloud may refuse registration of, or suspend or terminate, any account that provides false information, violates these Terms or the Policies, or is used for fraudulent or unlawful purposes.
4. Description of Services
- WawaCloud provides the following categories of hosting services under the WawaNode brand:
- Cloud servers / VPS: elastic compute instances based on virtualization technology. - Dedicated servers: dedicated physical servers. - IP addresses: IPv4 and IPv6 address resources (including add-on IPs). - Bandwidth and network: data transfer, port speeds, and network connectivity. - Storage: disk or block storage resources associated with an instance. - Control Panel: a web-based console for provisioning, managing, rebooting, reinstalling, and monitoring services. - Technical support: support provided under the Technical Support Policy.
- The specific specifications, configurations, and limits of each service are determined by the plan you select at the time of ordering and the description on the relevant product page.
- WawaCloud may, from time to time, add, modify, or discontinue a service or feature; for material changes, we will provide reasonable notice in accordance with Section 18.
5. Ordering and Provisioning
- You place an order by selecting a plan on the website and completing payment. An order is formed only after WawaCloud accepts it and completes the provisioning process.
- Some orders may require manual review, identity verification, or anti-fraud checks before provisioning; WawaCloud may refuse or delay provisioning of any order on risk-control grounds.
- Provisioning time varies by product type. Cloud servers / VPS are typically provisioned automatically; dedicated servers may require additional manual configuration time.
- You are responsible for ensuring that the provisioning information you submit (such as operating system selection and configuration parameters) is accurate; you bear the consequences of any errors in such information.
6. Fees, Billing, and Automatic Renewal
- Service fees are denominated in Chinese yuan (CNY); the actual charge is based on the currency and amount shown on the checkout page.
- Unless otherwise agreed, service fees are payable in advance before the start of each service period.
- Automatic renewal: to avoid service interruption, your service may renew automatically and be charged automatically at the end of each billing cycle. You can manage or disable automatic renewal in the Control Panel.
- Failure to pay on time may result in suspension or termination of service, as described in Section 9 and the Payment & Billing Policy.
- More detailed provisions regarding pricing, taxes, invoices, late payment, and refund timing are governed by the Payment & Billing Policy and the Refund Policy.
7. Acceptable Use
- Your use of the Service must at all times comply with the Acceptable Use Policy.
- Prohibited conduct includes, without limitation: sending spam, network attacks (such as DDoS, port scanning, intrusion), distributing malware, infringing intellectual property rights, hosting unlawful content, fraud, traffic abuse, and any activity that violates applicable law or the rights of third parties.
- Violation of the Acceptable Use Policy may result in immediate suspension or termination of service without refund, as described in Section 9 and the Abuse Complaint Policy.
8. Customer Responsibilities and Data Backup
- You are responsible for all Content stored on, transmitted through, or processed by the Service, and must ensure it is lawful and compliant.
- Data backup is the Customer's sole responsibility. Unless otherwise agreed in writing, WawaCloud does not provide backup services for your Content and does not guarantee the recoverability of data. You must maintain your own independent, regular backups of your Content outside the Service.
- You must promptly install security patches, maintain account security, and properly configure your services; you bear any losses resulting from your failure to perform these maintenance obligations.
- You must not use the resources allocated to you (including IP, bandwidth, and storage) beyond the scope of your plan or in a manner that harms other customers or the network.
9. Suspension and Termination
- WawaCloud may suspend or terminate your service, in whole or in part, and may do so without prior notice, in any of the following circumstances:
- you violate these Terms or any Policy; - payment is overdue; - your use causes or may cause harm, a security risk, or legal liability to the network, equipment, or others; - required by law, regulation, or a competent authority; - suspected fraud or abuse.
- For non-urgent circumstances, WawaCloud will endeavor, to the extent reasonably practicable, to provide notice first.
- You may request cancellation of service at any time through the Control Panel or a ticket; the effect of cancellation and any refund are governed by the Refund Policy and the Payment & Billing Policy.
- Upon termination of service, the associated Content and data may be deleted and become unrecoverable; you should complete your own data export and backup before termination.
- Provisions of these Terms that by their nature should survive (including but not limited to intellectual property, disclaimers, limitation of liability, indemnification, and governing law) shall remain in effect after termination of these Terms or the Service.
10. Refunds
- The conditions, calculation method, and application process for refunds are governed by the Refund Policy.
- Service that is suspended or terminated due to your violation of these Terms or the Policies is, in principle, non-refundable.
11. Service Levels
- WawaCloud commits to service availability in accordance with the Service Level Agreement (SLA).
- Service credits under the SLA (where applicable) are your sole and exclusive remedy for any failure of the Service to meet the availability standard.
12. Intellectual Property
- All intellectual property rights in the WawaNode website, Control Panel, trademarks, logos, software, and related materials belong to WawaCloud Inc. or its licensors. You may not copy, modify, distribute, or otherwise use such materials without prior written permission.
- You retain all rights to your Content. To the extent necessary to provide the Service, you grant WawaCloud a limited, non-exclusive license to host, store, transmit, and process your Content.
- You warrant that your Content does not infringe the intellectual property or other rights of any third party.
13. Privacy
- WawaCloud is the controller of customer data. Our collection, use, storage, and protection of personal information are governed by the Privacy Policy and the Cookie Policy.
- For business customers, the Data Processing Agreement (DPA) separately governs matters relating to WawaCloud's processing of personal data as a data processor on behalf of the customer.
14. Third Parties and Payment
- The Service may integrate with or rely on third-party products, networks, or services; WawaCloud is not responsible for the conduct or availability of third parties.
- WawaCloud processes payments through third-party payment channels including Alipay, WeChat Pay, cards, and USDT. Your use of these payment channels is also subject to the terms of the relevant providers.
- WawaCloud does not store your full payment credentials; payment processing is handled by the relevant payment service providers.
15. Disclaimers and Exclusion of Warranties
- To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, and WawaCloud makes no warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and warranties that the Service will be uninterrupted, error-free, or completely secure.
- WawaCloud does not warrant that the Service will meet all of your requirements, nor does it guarantee the integrity, recoverability, or security of any data.
- Some jurisdictions do not allow the exclusion of certain implied warranties, so the above exclusions may not fully apply to you.
16. Limitation of Liability
- To the maximum extent permitted by applicable law, WawaCloud shall not be liable for any indirect, incidental, special, punitive, or consequential damages (including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption), regardless of the theory of liability.
- In no event shall WawaCloud's aggregate liability under these Terms or for the Service exceed the total fees actually paid by you to WawaCloud for the relevant service during the twelve (12) months preceding the event giving rise to the claim.
- The above limitations apply to WawaCloud and its affiliates, officers, employees, and agents.
17. Indemnification
You agree to indemnify, defend, and hold harmless WawaCloud and its affiliates, officers, employees, and agents from and against any third-party claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your Content; (c) your violation of these Terms or any Policy; or (d) your violation of any law or the rights of any third party.
18. Force Majeure
WawaCloud shall not be liable for any delay in or failure to perform its obligations caused by events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, riots, government action, changes in laws or regulations, power or telecommunications outages, network attacks, upstream supplier failures, and strikes.
19. Changes to the Terms
- WawaCloud may revise these Terms and the related Policies from time to time. Revised versions will be published on the website, with the "Effective date" at the top updated accordingly.
- For material changes, we will provide notice by reasonable means, such as a website announcement, email, or a notice in the Control Panel.
- Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you should stop using the Service and may request cancellation.
20. Governing Law and Dispute Resolution
- The formation, validity, interpretation, and performance of these Terms, and any dispute arising out of or relating to these Terms, are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict-of-laws rules.
- The parties shall first attempt to resolve any dispute through good-faith negotiation. If negotiation fails, either party may submit the dispute to a court of competent jurisdiction located in Ontario, Canada, and the parties hereby submit to the jurisdiction of those courts.
- To the extent permitted by law, the parties waive any right to assert claims by way of a class action.
